Terms of Service

 

I. The Micro Balance Premier Provider Program Terms of Service governs the resale of products from Micro Balance Health Products (Micro Balance). Micro Balance believes the guidance of a qualified and approved health professional is important to maximize the effectiveness of our products; therefore, only approved licensed healthcare professionals (Provider) are allowed in the Micro Balance Health Products Premier Provider Program. All Providers must submit the online application form (at LINK), along their current license or health practitioner certificate and US Federal Tax ID (EIN) for Micro Balance to review prior to being granted approval to establish an account. Micro Balance reserves the right to deny any application. This policy is the unilateral will of Micro Balance and this policy can be amended at any time. Such amendments will be communicated via mail and/or email to all involved parties.

 

II. Policy and Restrictions

a. Authorized Resellers: Only authorized healthcare and environmental professionals (Providers) are allowed to sell Micro Balance branded products through their website. An acceptable Provider is someone who maintains and has submitted a current medical license, degree or accreditation certificate for Micro Balance verification and approval. Such approved Providers may resell Micro Balance products through a website where they are the owner and operator.

b. The Internet Sales Channel: HCP customers shall sell products in unit volumes appropriate for individual personal use only.

c. Copyright and Trademark: The philosophy and integrity of the Micro Balance brands must be consistently protected at all times. Content displayed on the Micro Balance website, in brochures, advertisements, product packaging, product information sheets and other marketing materials are copyrighted and trademarked.

d. Brand Representation: The unauthorized use of copyrights, trademarks, logos, manufacturing images, product images, copy or other Micro Balance information on the internet without expressed consent is prohibited. All photos, images, and product and/or company description content pertaining to or describing Micro Balance must be current and obtained from Micro Balance directly. This information cannot be pulled from the Micro Balance website or other internet sources, unless specifically directed in writing by Micro Balance. This information may be updated and amended at any time. Such amendments will be communicated via mail and/or email to all involved parties.

eInternet Landscape: When listed on a website or online storefront for sale, the Micro Balance name or logo and all associated brands and product information shall be displayed and classified as a “Healthcare Practitioner Brand”. Examples of this include but are not limited to displaying Micro Balance brand on a distinct page of the website entitled, “Healthcare Practitioner Brands”, or designating it as such through a symbol or abbreviation when listed in the brand index.

f. Information Disclosure: All individuals or companies intending to resell Micro Balance products through the internet agree to disclose all ownership or association of any kind with other affiliated websites of any type. Micro Balance must be notified of any website or online storefront URL changes, launches, and/or storefront name changes prior to implementation. Websites where Micro Balance products are sold or advertised must provide access to the current and approved licensed Provider, including his/her complete phone number, email and office address contact information.

g. International Restrictions: Products are for distribution in the United States only. Due to international supplement regulations and policies governing such products, and to protect the integrity and rights of our international distributors, products cannot be shipped internationally. International distributors may contact Micro Balance to apply for a waiver on this restriction via an email to PPP@MicroBalanceHealth.com.

h. Compliance with Laws: The Provider is solely responsible to comply with all applicable laws and regulations where it advertises or sells Micro Balance products.

i. Payment and Returns: Customers are to submit a credit card as method of payment. Account terms are not permitted. Products beyond their expiration date may not be returned for credit or exchange whereas, all products shipped will have a minimum of 90 days before their respective expiration date. Providers will be charged 15% of the purchase price of any returned product plus any applied discounts that were earned based on volume discount and/or promotional discount. Product returns should be sent USPS and be processed in compliance with our Return Policy. It is strongly suggested that Customers purchase insurance on the return shipment. If the package is damaged during the shipping process, the return will not be accepted. It is also suggested Customers get tracking and shipping confirmation when returning a product to ensure Micro Balance receives the package. Micro Balance is not responsible for packages lost during the shipping process. Customer Service reserves the right to decline a return if the terms and conditions stated in the following return guarantees have not been met.

j. Pricing Provisions: Authorized approved Providers must abide by the Minimum Advertised Price (MAP) Policy, as outlined in section III of this document when advertising or reselling Micro Balance products.

k. Micro Balance maintains its own Amazon.com Store, as well as an eBay store. Therefore, Micro Balance products may not be advertised or sold on Amazon.com, eBay.com and any of their affiliates by anyone except for Micro Balance. Customers who violate this exclusive agreement are subject to immediate and permanent suspension of purchasing privileges.

III. Minimum Advertised Price (MAP) Policy

a. Liability: The Minimum Advertised Price (MAP) Policy applies to all Providers including those that own, operate or manage websites, online clinics and pharmacies. The MAP policy applies to all printed and electronic advertisements of Micro Balance products including but not limited to catalogs, brochures, websites, email solicitations, special offers, newsletters and electronic coupons or coupon codes. Providers agree to assume all liability and responsibility for the resale of products through the internet.

b. Advertising: Through the purchase of Micro Balance products, Providers agree not to advertise through any medium of mass communication any product at less than the Suggested Retail Price (SRP) for each respective product as listed on the Micro Balance website in effect at the time of the advertising. This policy prohibits the advertising of any volume discount or other promotion that would cause the per unit sales price to be advertised at less than the SRP. Similarly, any language referring to or speaking of inferred discounts that a customer may receive through a website is prohibited. This does not apply to advertising within a Provider’s office setting. The “Provider’s office setting” is defined as the physical location where patients are medically seen and treated by the licensed HCP approved by Micro Balance.

c. Actual Resale Price: MAP provisions do not establish the Provider’s actual resale price. Providers are free to set the actual resale price as they deem appropriate; however, all products must check–out at or above suggested retail price (typically the page at which the end user finally purchases the product). Access to an actual resale price that is lower than SRP via the internet may only be granted through restricted web pages protected by a unique code. Private patients treated in the HCP’s office may have access to this unique code provided by the HCP in the Provider’s office setting only. This code may not be electronically communicated via email, published anywhere on the website or be made known to anyone but the HCP’s private patients.

IV. Reseller Program Pricing

Once a Provider application has been approved, an account will be created to provide access to the Micro Balance website. Only logged in Micro Balance users that are part of the Premier Provider Program will be given the reseller discount on product pages and upon checkout. Each provider must purchase a minimum of $600.00 (after discount) per calendar year in order to remain qualified for the program. 

V. Sanctions

Absolute adherence to the terms and conditions outlined in this policy is required for active account status. If a Provider fails to comply with the terms of this agreement, Micro Balance shall notify them via phone, email or standard mail of the violation and immediately place the Provider’s account on hold until the Provider has come into compliance. Failure to comply with the MAP policy in Section II., k., and Section III., may result in temporary or permanent revocation of the Provider’s reseller purchasing privileges, suspension of the account or termination of the account. Micro Balance reserves the right to revoke the Provider’s reseller price purchasing privileges and/or terminate the account of any customer in violation of any of the terms or conditions outlined in this policy without prior notice. Violation of any such terms automatically forfeits the Provider’s ability to sell products in any capacity.
